Simultaneous Business Registration (BR) and Limited Partnership Fund (LPF) registration now possible

Simultaneous Business Registration Applications on Registration of Limited Partnership Funds (“LPF”)

     Starting from 27 December 2023, the Companies Registry (“Registry”) and Inland Revenue Department (“IRD”) has jointly implemented the simultaneous business registration applications on registration of LPFs. An LPF applicant who applies for registration of an LPF under the Limited Partnership Fund Ordinance (Cap. 637) (“LPFO”) will be deemed to have made a simultaneous application for business registration. Under the new arrangement, an applicant will only be required to lodge one single application for both the registration of LPF and business registration.

 

     To make an application, an applicant is required to submit the following documents and pay the following fees to the Registry:

 

  • a relevant application form (Form LPF1, LPF2 or LPF10);

  • notice to Business Registration Office (IRBR4) stating whether the fund has already been registered under the Business Registration Ordinance (Cap. 310) (“BRO”); and

(a) if the fund has been registered, provide its business registration number; or

(b) if the fund has not yet been registered, indicate whether it elects for a 3-year certificate, and provide the full name and residential address / registered office address of the general partner; and

 

     LPFs registered their funds under this new arrangement are no longer required to complete Form 1(ca). On application for a certified extract of information by an applicant, the Business Registration Office will provide to the applicant an application information sheet containing the same information as that in Form 1(ca).
